Many women and man have been able to be successfully self employed without being poor or getting involved in shady businesses. The opportunities are multiple and unfortunatley we are taught at an early age that you need to have X amount of schooling and training done before you can establish a name or a position in this world for yourself.

Do your homework and research valid home based business opportunities that are out there and get your feet wet. Dont go spending crazy amounts of money as many home based business builders frequently start off doing and before they know it their VISA is maxed out!

Be smart, and be safe. Dont imagine for a second that a home based business is by any means less important than an actual physical one. Also dont be under the common misconception that people who own home based businesses make gold without working hard enough.

I cannot begin to express my shock at the number of people I have come in contact with who believe that home businesses are quick cash opportunities and are bumbed out when they dont make a thousand dollars within a week of doing nothing then turn around and call it a scam.

To them I say this; If you go to your regular J.O.B. and sit in a chair all day doing nothing, no one will pay you a dime, and you cannot run out yelling help me I was scammed. The same rules apply everywhere.

So, back to being a smart mother. I have come to know many women who by simple research and knowing their ABC's have been able to generate an entire income from home, some have actually not only replaced their own income but their spouce's income as well.

Here are my tips for you:
1- If you are unhappy with your job, find something you are passionate about and invest in it, start off small and see how it goes.
2- If you already work a full time job, pick an opportunity that doesnt need your full attention 24/7.
3- Do not listen to people who discourage you and fill your head with corporate world mumbo jumbo talk.
4- I am not telling you to quit your job, please DONT. Just realize that there are options out there.
5- Stay away from get rich qiuck scenarios.
6- Do lots and lots of research if you find a work from home opportunity you like.
7- The Better business bureau tells you nothing about the ethics of a business!
8- Think outside the box.

Every one is used to the 9-5 drill, so what if you want to make your earnings in a different way? You are not evil for thinking that way, though people might treat you like it.

I have learned that if you want to do something just do it. Do not ask 100 people for their opinions. People do not want you stepping ahead of them by any means, most would rather see you back in line where they think you belong.

Family does matter, and there is a way to be with your children and make an income from home, your job is to find it!

In listing your current and past professional experiences, try to focus on those responsibilities that indicate you are qualified to take the next step in your career. Due to the fact that more and more companies as well as job search sites use scanning software to pick out candidates, it is very important that you use key words, including active verbs, to describe your skills. Instead of beginning your job descriptions with "Responsible for" try to use active verbs such as:

- managed
- developed
- created
- communicated
- interfaced
- achieved, etc.

These key words get straight to the point of describing your responsibilities, which is exactly what the employers are looking for. Chose these words carefully - don't say that you "managed a project", implying you were responsible for the whole task from start to finish if you were only responsibly for communicating the project to other associates. All previous jobs should be listed using past tense, and should start with active verbs such as managed, developed, accomplished, etc.

Additionally, make sure that responsibilities you are listing are relevant for to your career objective. List only those responsibilities which help you put your best foot forward. For example, if you are looking for a job that requires managing a team of people, focus on your development and participation in group projects instead of focusing on solitary activities such as office organization.

In terms of formatting, make sure that your responsibilities are listed in bullet points. This formatting is preferred to paragraphs on a resume because it is easier to review quickly. Employers simply scan the resumes and look for key words - if the resume looks overwhelming, with a lot of copy and poor formatting, they will likely discard it. Thus, it is very important that your resume is formatted with enough white space and doesn't contain any errors.

- When you first go in to apply, be sure to be polite to the receptionist or whatever person you encounter that is getting you the application. Bosses sometimes ask these people their initial impressions of the applicant, and if you are polite and kind, you may stick out amongst the rest.

- You should use a pen with blue or black ink when filling out an application. Pens are more formal then pencils, and any other color ink will be distracting to the person perusing your application. If you're unsure of your ability to fill the application out properly the first time, you may want to bring an erasable pen.

- Another factor that employers often use when testing applicants is to see how exactly how prepared of a person the applicant is. Be sure to bring a pen with you when you are applying; asking the receptionist for a pen is seen as bad form by many bosses.

- Be sure to bring with you a quick fact sheet based on your personal information that may come into play on the application. Be sure to have references, past job experience, and other notable application information with you so that you don't have to leave to find out the address or phone number of a former employer.

- Be sure not to leave any blanks on the application. If there is a box that doesn't apply to you, don't leave it empty; employers may think that you just missed it. Write ‘Not Applicable' in the box to let them know that you saw the field.

- If you have noticeable periods of unemployment between jobs in your job history, be sure to note on the application exactly what the cause of your lack of work was, such as saying that you were going to school for a period of time.

Well, there's that law degree diploma hanging on the wall. And that hefty fee that comes with an office visit.

While there are some limitations to what a paralegal can do, chances are that most of your attorney's work is done by a paralegal, a legal assistant that he or she trusts to know the law and the documents being prepared. Be thankful - the paralegal fee is far less than the fee would be if an attorney were completing your paper work. Don't worry that your legal work is less effective or efficient because it was completed by someone other than your actual attorney. When the attorney puts his or her signature on a document prepared by a paralegal, the lawyer is verifying that the information is correct. It's just as legal - but probably costing you a lot less - to have the paralegal complete your paper work.

There are a lot of duties a paralegal plays in an attorney's office. The paralegal may do legal research and writing for your attorney. A paralegal may even take over as case manager, a situation that many firms are considering if they have not already adopted to help keep legal fees lower and affordable.

There are five things a paralegal cannot do. One, a paralegal cannot give legal advice. Only a licensed attorney should do that. Two, a paralegal cannot develop the attorney-client relationship. It just makes sense - the attorney-client relationship should be between those two people, otherwise it would be called the law firm representative - client relationship. Three, the paralegal cannot sign papers on behalf of the client. Only the attorney can attest his or her name to those legal documents. Four, the paralegal cannot represent a client in court. While many paralegals could probably do so quite well, it just isn't legal. And, five, the paralegal cannot set and collect legal fees. Only the attorney can do that.

Different states have different requirements for paralegals. Some do specifically require certification. Other states allow attorneys hiring the paralegals to judge the person's qualifications. After all, the attorney will be the one signing off on all of the paralegal's work. Some attorneys require a certain amount of legal experience, a background in research or other clerical skills. If you are interested in a career as a paralegal, check with some attorney's offices or law firms in your hometown. See what their qualifications are. If they prefer to hire paralegals with course certificates, ask if they can recommend a school or schools for you to examine.

There are plenty of opportunities to take paralegal courses, even for today's busiest people. In addition to home study courses, there are online courses, and programs of study at two and four year colleges and universities. One method of study is sure to fit your budget and the school of your choice may even have financial aid options available. If you are thinking of a paralegal career - or changing careers to be a paralegal - check out all your options and decide if having a two or four year paralegal certificate will help make you more marketable in the legal world.

Negotiating with PE's for Equity

If you're going to head up a PE owned company, you have a great opportunity to earn equity in the firm. How can you maximize that opportunity?

Private Equity groups believe that the selection of the right CEO to lead their portfolio companies is critical to their success. They will seek an individual with a strong track record of P&L achievement in the same or a related industry. Once they've found this person, they will want to agree on a compensation package which aligns the executive's interest with their own.

The most important way in which interests are aligned is through equity ownership. The PE group will want the executive to invest in the acquisition as a tangible demonstration of his/her commitment to the venture. They will also create a plan whereby the CEO and other senior executives can earn additional equity by achieving defined operational results. This earned equity allows the executive to create real wealth during his/her tenure with the company. It's therefore important for the CEO to understand how to maximize this very important component of compensation.

Strengthen Your Negotiating Position

Bring the deal - Presenting an acquisition target gets the attention of PE groups immediately. It also shifts the power dynamic from one in which the PE is choosing a CEO to one where the CEO is choosing among PE groups.

Have a plan -Be prepared to present a plan for growing the business. Some key elements of the plan are: Cost reduction Organic revenue growth Acquisition strategy Likely exit options.

PE's understand that things will change once you are actually running the business, but a well thought out plan will serve to demonstrate your strategic thinking as well as make them more enthusiastic about the target.

Have an agent - Negotiating hard with your soon-to-be boss can be very awkward. Having someone whose role is to negotiate on your behalf allows you to maintain a collegial relationship with the PE throughout the process. Whether you use an attorney or investment banker in this capacity, it's important to choose someone who is well versed in the range of terms which are achievable in this type of situation. The value of this negotiation can translate into millions of dollars a few years later when the PE is exiting the investment.

What are the key parameters?

The amount of equity - The range of equity allocated to management can range from 8-20%. Where a given situation falls within the range depends on several factors including the industry, your strength as an executive and how badly the PE wants to get in on the deal. If the PE believes the deal is theirs if they want it, they won't be as generous as when they believe they're competing to get in on it.

The percentage allocated to the CEO - The range for the CEO is typically 33-50% of the management incentive pool. If you're perceived as a strong leader and if you're bringing the deal, you should be able to get to the top of the range.

The terms by which the equity is earned - When it comes to this type of negotiation, the devil is definitely in the details. It's very unusual that any of management's shares are granted unconditionally. Some of the common bases for granting shares are tenure, achieving operational objectives and achieving the ultimate exit value for the company. Some combination of these is typical.

There are several factors that can make the management equity pool less valuable than it appears on the surface. It's important to understand these clearly:

Strike Price - This means the price that management pays for its shares. The price may be set at or below the initial price paid by the PE or it may increase if the PE has to make additional equity investments for add-on acquisitions. The effect is to reduce the value of management's shares at exit. For example, if the price of each share is $1 at the time of the initial acquisition and at exit it is $3, then management's 15% will effectively be the same as 10% with no strike price.

Dilution - Do management's shares dilute as the PE makes additional investments. If so, their ultimate value is very uncertain.

Preference - The PE may argue that they should receive their invested capital before the value of management's shares is calculated. This may be acceptable if there is a catch up provision so that as long as a certain minimum return is achieved, management will get the full value for its shares.

While each situation is different, we believe that the best deal can generally be struck using a structure wherein management's equity is undiluted and has no strike price as long as the PE's return is above a specific level.

The CEO can maximize the long term financial value of the venture for management by focusing on the equity component of compensation. The keys are planning to maximize your negotiating leverage, understanding the various parameters and working with a capable advisor/agent.
